SOCIETY BYLAWS AND CONSTITUTION


CONSTITUTION

I. Name

The name of the organization shall be James Dickey Society.

II. Purpose

The purpose of this Society shall be the advancement of scholarship and dissemination of knowledge with regard to the life and work of James Dickey.

III. Membership

Any person interested in the purpose of the Society may be admitted to membership by payment of the dues established by the Executive Committee.

IV. Officers

The elected officers of the Society shall be the Chair; the First Vice Chair; the Second Vice Chair; six members chosen from the membership-at-large, acting as a Committee of the Whole; and the Editor of the James Dickey Newsletter. The elected officers serve terms established by the Executive Committee.

V. Executive Committee

The Executive Committee shall consist of the Chair, the Vice Chairs, and three elected members, as well as members of the Editorial Board. The Chair, who may also be Editor of James Dickey Newsletter, will serve an indefinite term at the will of the Committee. The Vice-Chairs shall serve periods of four years each, and the three elected members shall serve three, two years, and one year respectively each.

VI. Fiscal Year

The fiscal year shall be concurrent with the calendar year: January 1 through December 31. The chief financial officer is the Editor of James Dickey Newsletter.

VII. Annual Meetings

The Society shall meet on each occasion and in such years that a Special Society Session is held under the auspices of a scholarly association such as South Atlantic Modern Language Association, American Literature Association, Society for the Study of Southern Literature, etc.

VIII. Dissolution

The Society shall be dissolved only upon the discontinuance of publication of James Dickey Newsletter. Settlement of any and all liabilities shall be under the direction of the Editor of James Dickey Newsletter.

IX. Miscellaneous

Notwithstanding any other provisions contained herein, no part of the earnings nor any part of the liabilities shall inure to the benefit or the liability of any member but shall accrue to the publication of James Dickey Newsletter.



BYLAWS

I. Membership

1. Voting Membership: Members shall pay dues as determined by the Executive Committee and will receive the official publication of the Society, James Dickey Newsletter.
2. Institutional Membership: Such membership shall be available for a fee determined by the Executive Committee. Such Institutional Members shall be listed in James Dickey Newsletter, shall receive a subscription to James Dickey Newsletter, and shall be extended other privileges of membership as determined by the Executive Committee.

II. Executive Members and Officers

1. The Chair is the chief executive officer of the Society and, in consultation with other members of the Executive Committee, shall act on behalf of the Society in administration of the Society.
2. The Vice Chairs and elected members shall assist the Society Chair in the administration of the Society.
3. The Editor shall insure the regular publication of James Dickey Newsletter. The Editor may be assisted by an Editorial Board(s), whose composition(s) shall be subject to review and approval by the Executive Committee.

III. Meetings

Meetings shall be at all scholarly conferences where Special Sessions of the Society are held.

IV. Resolutions and Amendments

Any voting member may propose Resolutions and Amendments to the Executive Committee who shall determine whether or not to submit said Resolutions and/or Amendments to a vote by the members in good standing.
